These Terms of Service ("Terms") govern your access to and use of WarpSend ("the Service"). By creating an account or using the Service you agree to these Terms. If you do not agree, please do not use the Service.
1. The Service
WarpSend provides high-speed file transfer software, including device-to-device transfer, share-link delivery, and folder sync. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice when possible.
2. Your account
You must provide accurate and complete information when you sign up. You are responsible for keeping your account credentials secure and for all activity that occurs under your account. Notify us at security@warpsend.io if you suspect unauthorized access. You must be at least 16 years old to use WarpSend.
3. Acceptable use
You agree not to use the Service to:
- Transfer or store unlawful, infringing, or harmful content (including child sexual abuse material, malware, or content that violates intellectual property rights).
- Distribute spam, phishing, or other deceptive content.
- Bypass quota limits, spend caps, or other Service safeguards.
- Reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent allowed by law.
- Resell, sublicense, or repackage the Service without our written permission.
We may suspend or terminate accounts that violate these rules, without prior notice if necessary.
4. Your content
You retain ownership of all files and data you transfer or store with WarpSend ("Your Content"). We do not claim any rights to Your Content. You grant us only the limited license needed to operate the Service — for example, to relay files between your devices and to deliver them to share-link recipients you specify.
We do not access, read, or analyze Your Content except where:
- You explicitly request support that requires it (and only with your consent),
- It is technically necessary to operate the Service (for example, measuring storage size to enforce quotas), or
- It is required by law.
5. Free and paid plans
Free tier
The Free tier provides 1 TB of WarpDirect + WarpSync traffic and 200 GB of WarpShare storage every calendar month, free of charge and without commitment. Free quotas reset on the 1st of each month at 00:00 UTC.
Pay-As-You-Go (PAYG)
Once you enable PAYG, you can exceed the free quota and pay only for the additional usage:
- $5 per TB of overage traffic.
- $30 per TB·month of overage storage.
Pricing is in U.S. dollars. We may update pricing from time to time and will notify you at least 30 days before any price change takes effect.
Spend cap
Every PAYG account comes with a configurable spend cap (default $100/month, range $0–$10,000/month). When usage approaches the cap, new transfers pause until the next billing cycle or until you raise the cap.
Billing and payment
PAYG charges are billed monthly in arrears. Invoices are settled automatically against the payment method you provide. If a payment fails, you have a 3-day grace period to update your card; after that, transfers are blocked but stored files remain available until their retention window ends.
Cancellation
You can cancel PAYG at any time from the Billing page — either at end-of-period (default) or immediately. Free-tier access continues after cancellation.
Refunds
PAYG charges are based on metered usage and are non-refundable except where required by law.
6. Termination
We may suspend or terminate your account if:
- You materially breach these Terms.
- You use the Service in a way that creates legal, financial, or operational risk for us.
- We are required to do so by law.
If we terminate without cause, we will provide reasonable notice and a way to export your data. You may delete your account at any time from the account settings. After deletion, we retain only the minimum data needed for legal compliance, as described in our Privacy Policy.
7. Intellectual property
WarpSend, the WarpSend logo, and the WarpDirect, WarpSync, and WarpShare names — together with all related marks and content — are owned by us or our licensors. The Service is licensed, not sold; we grant you a limited, non-exclusive, non-transferable license to use it under these Terms.
8. Privacy
Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the data practices described there.
9. Disclaimers
The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties — express or implied — including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or perfectly secure. You are responsible for keeping your own backups of important data.
10. Limitation of liability
To the maximum extent permitted by law:
- We will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data loss.
- Our total liability for any claim arising out of or related to the Service is limited to the greater of (a) the amount you paid us in the 12 months preceding the claim or (b) US$100.
Some jurisdictions do not allow these limitations; in those jurisdictions our liability is limited to the maximum extent permitted.
11. Indemnification
You agree to defend and indemnify us against any third-party claim arising from Your Content, your violation of these Terms, or your unlawful use of the Service.
12. Changes to these Terms
We may update these Terms from time to time. If we make a material change, we will notify you by email or in-app notice at least 14 days before it takes effect. Your continued use of the Service after the change means you accept the updated Terms.
13. Governing law
These Terms are governed by the laws of Taiwan, R.O.C., without regard to conflict-of-laws rules. Any dispute arising out of or related to these Terms or the Service will be resolved in the courts located in Taipei, Taiwan.
